NON-DISCLOSURE AGREEMENT

Jai’s Butter Affiliate Program

This Non-Disclosure Agreement (“Agreement”) is entered into as of the date of electronic acceptance (“Effective Date”) by and between:

Jai’s Butter, a Tennessee-based brand owned and operated by Jamie Moorehead, with a principal place of business in Tennessee ("Disclosing Party"),andThe undersigned affiliate participant ("Receiving Party"), collectively referred to as the “Parties.”

1. Purpose

The purpose of this Agreement is to permit the Receiving Party to participate in the Jai’s Butter Affiliate Program, during which certain confidential and proprietary information may be disclosed solely for the purpose of promoting Jai’s Butter products.

2. Definition of Confidential Information

“Confidential Information” refers to all non-public, proprietary, or sensitive information disclosed by the Disclosing Party in any format, including but not limited to:

• Business models and strategies

• Commission structures and payout schedules

• Product formulas or development concepts

• Customer or client information

• Marketing plans, branding concepts, or pricing strategies

• Any other trade secrets or private information related to Jai’s Butter's operations

3. Affiliate’s Obligations

The Receiving Party agrees to:

• Use Confidential Information solely for affiliate-related purposes

• Not disclose, reproduce, or distribute Confidential Information to third parties without prior written consent

• Take all reasonable measures to protect Confidential Information from unauthorized access, use, or disclosure

• Promptly notify Jai’s Butter of any suspected or actual unauthorized use or breach

4. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available without breach of this Agreement

• Is lawfully obtained from a third party not under confidentiality obligations

• Is independently developed by the Receiving Party without reference to the Confidential Information

5. Duration

The obligations set forth in this Agreement shall commence on the Effective Date and shall continue indefinitely, even after the affiliate relationship ends. The Receiving Party’s duty to protect and refrain from disclosing Confidential Information — including proprietary and trade secret material — shall survive termination of participation without limitation in time.

6. Return or Destruction of Materials

Upon request or upon termination of participation, the Receiving Party shall promptly return or destroy all documents, files, or materials containing Confidential Information.

7. No Rights Granted

This Agreement does not grant the Receiving Party any ownership or license rights in the Disclosing Party’s intellectual property, including but not limited to trademarks, copyrights, or proprietary content.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted under the laws of the State of Tennessee, without regard to its conflict of law rules. The Parties agree that any disputes arising under this Agreement shall be resolved in a court of competent jurisdiction located in Tennessee.

9. Remedies

In the event of any breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to seek immediate injunctive relief, in addition to any other rights or remedies available at law or in equity, including damages and attorney’s fees.

10. Entire Agreement

This Agreement constitutes the complete and exclusive agreement between the Parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings or agreements, whether oral or written.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
